TERMS OF SERVICE & DIGITAL MUSIC LICENSE

Welcome to Sublime Vibes Records.

Sublime Vibes Records is the public brand of Sublime Vibes Entertainment LLC.

These Terms of Service and Digital Music License ("Agreement") govern your access to our website and your purchase, download, access, and use of music made available through Sublime Vibes Records.

ACCEPTANCE

By visiting this website, purchasing music, downloading music, clicking an "I Agree," "Purchase," "Download," or similar button, or otherwise using purchased music, you agree to these Terms.

If you do not agree to these Terms, do not purchase, download, copy, distribute, or use the music.

1. DIGITAL MUSIC IS LICENSED — NOT SOLD

When you purchase a digital music download from Sublime Vibes Records, you are purchasing a digital copy of the music and receiving a limited license to use that music according to these Terms.

You are NOT purchasing ownership of the copyright or other intellectual-property rights.

Your purchase does not transfer ownership of:

The musical composition;
The sound recording;
The master recording;
Publishing rights;
Copyright;
Distribution rights;
Synchronization rights;
Derivative-work rights;
Licensing rights;
Public-performance rights;
Digital exploitation rights; or
Any other intellectual-property rights.

All rights not expressly granted to you remain reserved.

2. PERSONAL-USE LICENSE

Sublime Vibes Records grants the individual purchaser a limited, non-exclusive, non-transferable, revocable license to listen to and enjoy the purchased music for personal, non-commercial entertainment.

This license is granted only to the purchaser.

You may not transfer, sell, assign, sublicense, or give this license to another person.

3. PERMITTED PERSONAL USE

You may:

Listen to the purchased music on your personal devices.
Store the purchased music on personally controlled devices.
Create personal playlists.
Make reasonable personal backup copies for your own use.
Listen privately in your home or other private setting.
Play the music privately for family members or personal guests.

All permitted uses remain subject to the restrictions in this Agreement.

4. PROHIBITED USES

Unless Sublime Vibes Records provides a separate written license, you may NOT:

RESALE

Sell the music.
Resell the music.
Give away downloadable copies.
Trade the music.
Transfer the music to another person.
Include the music in a paid or free download package.
Use the music as a promotional giveaway.
Include the music in another product offered for sale.

DISTRIBUTION

You may not distribute, publish, transmit, upload, post, file-share, torrent, or otherwise make the music available to another person or to the public.

This includes:

Torrent networks;
Peer-to-peer networks;
File-sharing services;
Public cloud-storage links;
Download websites;
Music libraries;
Music marketplaces;
Forums;
Public folders;
Messaging groups; and
Similar services.

5. NO UNAUTHORIZED STREAMING OR SOCIAL-MEDIA UPLOADS

You may not upload purchased Sublime Vibes Records music to a public or commercial platform without a separate written license.

This includes, without limitation:

YouTube;
TikTok;
Instagram;
Facebook;
X;
Spotify;
Apple Music;
Amazon Music;
SoundCloud;
Audiomack;
Mixcloud;
Podcast platforms;
Streaming services;
Music distributors;
Websites;
Applications; and
Similar platforms.

This restriction applies whether or not the upload is monetized.

6. NO MONETIZATION

You may not use purchased music to directly or indirectly generate income or financial benefit.

Prohibited activities include:

YouTube monetization;
Advertising revenue;
Sponsorships;
Affiliate marketing;
Paid subscriptions;
Paid podcasts;
Commercial livestreams;
Business promotion;
Client work;
Paid courses;
Crowdfunding;
Promotional campaigns;
Commercial websites; and
Similar activities.

7. NO COMMERCIAL USE

Purchased music may not be used in connection with a business, organization, commercial project, product, service, advertisement, promotion, or revenue-generating activity.

Examples include:

Films;
Television;
Advertising;
Corporate presentations;
Business websites;
Real-estate videos;
Podcasts;
Video games;
Mobile applications;
Promotional videos;
Commercial livestreams;
Client projects;
Paid social-media content;
Commercial events; and
Other commercial media.

Commercial use requires a separate written license.

8. NO REMIXING, SAMPLING OR DERIVATIVE USE

Without written authorization, you may not:

Remix the music;
Sample the music;
Extract vocals;
Extract instrumental portions;
Create stems;
Create derivative recordings;
Modify the recording for redistribution;
Combine the recording with another work for commercial exploitation;
Create a new commercially exploitable recording; or
License a modified version to another party.

9. NO AI TRAINING OR DATASET USE

You may not use purchased Sublime Vibes Records music as training data, input data, dataset material, or development material for:

Artificial-intelligence systems;
Machine-learning systems;
Generative-AI systems;
Music-generation systems;
Voice-generation systems;
Audio-generation systems;
Model training;
Model fine-tuning;
Dataset creation; or
Similar technologies.

Written authorization is required for these uses.

10. NO CLAIM OF OWNERSHIP

You may not:

Claim that you created the music.
Claim ownership of the music.
Represent yourself as the copyright owner.
Register the music as your own.
Submit the music to a distributor as your own.
Register the music with a performing-rights organization as your own.
Register the music with a content-identification service as your own.
Submit the music to YouTube Content ID or a similar system as your own.
License the music to another person or company.
Grant another person rights you do not possess.

11. COPYRIGHT AND AI-ASSISTED MUSIC

Some music released through Sublime Vibes Records may be created using artificial-intelligence tools, AI-assisted workflows, human creative contributions, or combinations of these methods.

The copyright status of AI-assisted and AI-generated material depends on the specific creative contributions involved and applicable law.

Nothing in this Agreement represents that every element of every AI-assisted or AI-generated work is independently copyrightable.

Where copyright or other intellectual-property rights exist, Sublime Vibes Records and/or the applicable rights holders reserve those rights.

Regardless of the copyright status of any particular element, the contractual restrictions contained in this Agreement apply to your purchase and use of the music.

12. RIGHTS NOT EXPRESSLY GRANTED

Any rights not expressly granted to you under this Agreement are reserved by Sublime Vibes Records and/or the applicable rights holders.

Your purchase does not create an implied commercial license.

13. LICENSE TERMINATION

Your license remains effective only while you comply with this Agreement.

If you violate these Terms, your license may terminate to the extent permitted by applicable law.

Upon termination, you must immediately stop unauthorized use and, if requested, delete unauthorized copies under your control.

Termination does not eliminate any rights or remedies available to Sublime Vibes Records.

14. COPYRIGHT ENFORCEMENT

Sublime Vibes Records may use reasonable methods to identify unauthorized use of its music.

These methods may include:

Digital fingerprinting;
Content-identification systems;
Platform reporting systems;
Manual searches;
Web monitoring;
Copyright-monitoring services;
Audio-recognition technology; and
Other reasonable methods.

Sublime Vibes Records does not guarantee that every unauthorized use will be detected.

15. LEGAL REMEDIES

Unauthorized use may violate this Agreement and, where applicable, copyright, trademark, contract, or other laws.

Depending on the circumstances and applicable law, Sublime Vibes Records or an applicable rights holder may seek available remedies, including:

Injunctive relief;
Removal of unauthorized content;
Actual damages;
Profits attributable to infringement;
Statutory damages where available;
Costs;
Attorney's fees where authorized; and
Other remedies available under applicable law.

No particular remedy is guaranteed.

16. ELECTRONIC ACCEPTANCE

You agree that clicking an acceptance button, completing a purchase, downloading music, or using purchased music constitutes electronic acceptance of this Agreement.

Sublime Vibes Records may retain reasonable records of purchases, downloads, acceptance, and related transactions for business, accounting, fraud-prevention, and legal purposes.

17. SEVERABILITY

If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall continue to the fullest extent permitted by law.

18. NO WAIVER

Failure to enforce any provision immediately does not waive the right to enforce that provision later.

19. GOVERNING LAW

This Agreement shall be governed by applicable laws of the State of Florida and applicable federal law of the United States, subject to mandatory consumer-protection laws that may apply.
